Terms of Service

These terms govern your use of Wellspring Interactive's services. By engaging us for any work, you agree to these terms. We've kept this straightforward — no walls of legal jargon.

Service agreement overview

When you engage Wellspring Interactive for services, we'll provide a written proposal or statement of work that outlines:

  • Scope of work and deliverables
  • Timeline and milestones
  • Pricing and payment schedule
  • What we need from you to complete the work

Your acceptance of that proposal (via email, signature, or payment) constitutes an agreement to proceed under these terms.

Payment terms

Our standard payment terms vary by project type:

  • Fixed-price projects — 50% deposit to begin, 50% upon completion (or milestone payments for larger projects)
  • Retainer services — Monthly payment due at the start of each service period
  • Hourly work — Invoiced monthly, due within 15 days

We accept payment via credit card, ACH transfer, or check. Financing options are available for qualifying projects.

Intellectual property

You own what you pay for. Upon final payment:

  • All custom code, designs, and content created specifically for you become your property
  • You receive full rights to use, modify, and distribute your deliverables
  • We retain the right to showcase the work in our portfolio (unless you request otherwise)

What we retain: General knowledge, skills, and non-client-specific tools or frameworks we use or develop. We may also use open-source libraries that retain their original licenses.

Limitation of liability

We stand behind our work, but there are reasonable limits to our liability:

  • Our total liability is limited to the fees you paid for the specific services in question
  • We're not liable for indirect, incidental, or consequential damages
  • We're not responsible for third-party services, hosting, or platforms beyond our control

That said, we aim to resolve any issues promptly and fairly. Open communication goes a long way.

Cancellation and refunds

Life happens. If you need to cancel a project:

  • Before work begins — Full refund of any deposit paid
  • Work in progress — You pay for work completed to date; remaining balance is refunded
  • Retainers — Cancel anytime with 30 days notice; unused hours in the current period are non-refundable

Governing law

These terms are governed by the laws of the State of Illinois. Any disputes will be resolved in the courts of Kane County, Illinois, though we'd much rather work things out directly.

Changes to these terms

We may update these terms occasionally. Changes won't affect existing agreements — only new engagements after the update date.
